2. Quotes and Payments

Quotes and proposals are valid for 30 days from the date of issue unless stated otherwise.
Project engagements typically follow a milestone-based payment schedule defined in the proposal (for example, an advance on signing with the balance across delivery milestones).
SaaS product licenses and annual maintenance charges (AMC) are payable as per the plan selected at purchase.
Work may be paused if invoices remain unpaid beyond the agreed due date.

3. Intellectual Property

For custom development engagements, all intellectual property in the delivered work is assigned to you upon receipt of final payment. We retain ownership of our pre-existing tools, frameworks, and the core codebase of our licensed SaaS products; your purchase of a SaaS product grants you a license to use it, not ownership of its source code unless agreed in writing.

4. Client Responsibilities

Provide timely access to content, credentials, and approvals needed to deliver the work.
Review and accept deliverables within the review window stated in the proposal.
Ensure that any material you supply (text, images, data) does not infringe third-party rights.

5. Revisions and Support

Each engagement includes the revision rounds and post-delivery support period stated in its proposal. Issues caused by defects in our work during the support period are fixed at no charge. New features, scope changes, and third-party failures are billed separately or covered under a maintenance plan.

6. Confidentiality

Both parties agree to keep confidential information received from the other party private and to use it only for the purposes of the engagement. We are happy to sign a non-disclosure agreement (NDA) before any discovery discussion.

7. Warranties and Liability

We deliver our work with professional skill and care. To the maximum extent permitted by law, our total liability arising out of any engagement is limited to the fees paid by you for that engagement. We are not liable for indirect or consequential losses, or for failures of third-party services (hosting, payment gateways, APIs) outside our control.

8. Website Use

You may not misuse this website, attempt to gain unauthorized access to it, or use its content (text, images, case studies) for commercial purposes without our written permission.

9. Termination

Either party may end an engagement with written notice as set out in the proposal. You remain liable for fees on work completed up to the date of termination, and we will hand over all paid-for deliverables.

10. Governing Law

These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts at Zirakpur / Mohali, Punjab, India.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date.
